Terms of Service

Welcome to Kalea. These Terms of Service ("Terms") govern your access to and use of the Kalea platform at kalea.fyi and app.kalea.fyi (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use Kalea. By using the Service, you represent that you meet these requirements and that the information you provide is accurate and current.

2. Your Account

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate, complete, and current account information
• Keep your LinkedIn authentication secure and not share access with others
• Notify us immediately if you suspect unauthorized use of your account

We may suspend or terminate accounts that violate these Terms or that are used in a manner harmful to the Service or other users.

3. Creators and Businesses

Kalea is a marketplace connecting creators with businesses for LinkedIn UGC campaigns.

• Creators agree to post authentic content that complies with LinkedIn's policies and applicable disclosure laws (including FTC guidelines on sponsored content)
• Businesses agree to provide accurate campaign information, pay for delivered clicks according to their stated rate, and not direct creators to post misleading or unlawful content
• Both parties agree to communicate respectfully and in good faith through the platform

Kalea is not a party to the agreement between a creator and a business. We facilitate the marketplace, but the creator and business are responsible for the underlying campaign relationship.

4. Payments and Fees

Businesses pay creators on a pay-per-click basis at the rate set in the campaign. Kalea processes payments between businesses and creators and may retain a platform fee, disclosed at the time of the transaction.

• Clicks are tracked using unique creator links and verified by Kalea's tracking systems
• Fraudulent, automated, or otherwise inauthentic clicks will be excluded from payment
• Payouts are issued on the schedule disclosed in your account settings, subject to minimum payout thresholds

All payments are final unless otherwise required by law. Disputes regarding click tracking or payment should be raised within 30 days of the transaction.

Stripe Connect and Country Availability

Kalea pays out creators exclusively through Stripe Connect. To receive payouts, you must onboard and maintain a Stripe Connect account in good standing. By using Kalea's payout features, you also agree to the Stripe Connected Account Agreement.

Stripe Connect is not available in every country. If you live in a country that Stripe does not support, you will not be able to receive payouts through Kalea until you have a way to access Stripe — for example, by establishing a business or banking relationship in a Stripe-supported country. Identifying and complying with the legal, tax, and banking requirements of doing so is your responsibility, not Kalea's.

We do not offer alternative payout methods (such as PayPal, wire transfer, or cryptocurrency) and have no obligation to add them. If Stripe suspends, restricts, or closes your Connect account, or changes the countries it supports, we may be unable to pay you until the issue is resolved on Stripe's side.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of LinkedIn's terms or policies
• Post content that is misleading, defamatory, infringing, hateful, or harmful
• Attempt to manipulate click tracking, generate artificial engagement, or otherwise game the platform
• Scrape, reverse engineer, or interfere with the Service or its infrastructure
• Impersonate another person or misrepresent your affiliation with a brand

We reserve the right to remove content, suspend campaigns, or terminate accounts that violate this section.

6. Content and Ownership

You retain ownership of content you create and post through the Service. By using Kalea, you grant us a limited, non-exclusive license to host, display, and distribute your content as necessary to operate the Service.

You represent that you have the rights to any content you post and that it does not infringe the intellectual property or other rights of any third party.

7. LinkedIn API and Third-Party Services

Kalea integrates with LinkedIn through the official LinkedIn API. Your use of LinkedIn through Kalea is also subject to LinkedIn's User Agreement and Privacy Policy. We are not responsible for changes to the LinkedIn API or for LinkedIn's availability or behavior.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not guarantee specific campaign results, follower growth, click volume, or revenue. Use of the Service is at your own risk.

9. Limitation of Liability

To the maximum extent permitted by law, Kalea and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising from your use of the Service. Our total liability for any claim arising from the Service will not exceed the greater of (a) the amounts paid by you to Kalea in the 12 months preceding the claim, or (b) USD $100.

10. Termination

You may stop using the Service at any time and delete your account from your account settings. We may suspend or terminate your access if you breach these Terms, if your use poses a risk to the Service or other users, or if required by law. Sections that by their nature should survive termination (including payment obligations, disclaimers, and limitation of liability) will survive.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the platform. The "Last updated" date at the top reflects the most recent revision. Continued use of the Service after a change means you accept the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute arising from the Service or these Terms will be resolved in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.
